1. Background

ASIA QUALITY CONTROL is the brand name of Asia Quality Control Limited a Hong Kong limited company registered at 1010 Miramar Tower, 132 TST, Kownloon, hong Kong.

ASIA QUALITY CONTROL is acting as a consultant for quality purposes. ASIA QUALITY CONTROL acts in the capacity of an independent third party, on behalf of its clients and offers quality control services for importers buying products in Asia. ASIA QUALITY COTNROL also conduct Quality Consulting mission at supplier premises to help them to improve their process and manufacturing efficiency.

2. Website

AsiaQualityControl.com website is owned and operated by ASIA QUALITY CONTROL. ASIA QUALITY CONTROL grants you a limited license to access and make personal use of its website. It is not allowed to download (other than regular and proposed documents), or to modify any portion of the website, except with the express written consent of ASIA QUALITY CONTROL.

This license does not include any resale or commercial use of the website or its contents. Collection and use of information such: product listings, descriptions or pricing is forbidden. Any derivative use of the website or its contents such as downloading or copying of account information, using of data mining, robots or similar data gathering and extraction tools are strictly forbidden. The website or any portion thereof is not allowed to be reproduced, duplicated, copied, sold, resold, or otherwise exploited for any commercial purpose without the express written consent of ASIA QUALITY CONTROL.

Framing or any other assimilated framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, video, sound, scripts, page layout or form) is not allowed without the express written consent of ASIA QUALITY CONTROL. You may not use any Meta tags or other “hidden text” using ASIA QUALITY CONTROL’ name (Asia Quality Control) or trademarks without the express written consent of ASIA QUALITY CONTROL. Any unauthorized use terminates the permission or license granted by ASIA QUALITY CONTROL could sue you.

ASIA QUALITY CONTROL may not be responsible for any damages occurred on the client’s computer trough the using of the ASIA QUALITY CONTROL’s website or files provided by ASIA QUALITY CONTROL.

3. General

Every time you use or access to this website, you agree to be bound by these Terms & Conditions.

You agree that the owners of this web site (ASIA QUALITY CONTROL) exclusively reserves the right and may, at any time and without notice modify or discontinue this web site and its services or delete the data you provide.

We shall have no responsibility or liability for the timeliness, deletion, failure to store, inaccuracy, or improper delivery of neither any data nor information.

4. Services

ASIA QUALITY CONTROL services, hereunder called “services”, include but are not limited to:

  • PRODUCT TESTING: Testing Product with Laboratory Support
    • Managing with project management using accredited laboratory to perform test on product
  • QUALITY CONSULTING: Supporting Buyers or Manufacturers in improving the output of their production
    • For Buyers : Product Quality Manual Preparation, Qc Check List Preparation
    • For Suppliers : Product Certification Preparation, Factory Certification Preparation, Factory Performance Improvement

ASIA QUALITY CONTROL will perform its services on behalf of the client and ASIA QUALITY CONTROL will do its best to ensure that services are performed in a professional and reliable manner.

5. Performance of services

The performance of the Service will consist in a document, hereunder called the “Report”. The Report will display the collection of information that ASIA QUALITY CONTROL has been requested to supply and will be delivered as an online report, sent by email and posted online on the client account, also called “My Quality Manager”.

For Supplier Audit, Inspection Services and Product Testing ASIA QUALITY CONTROL acts as a third party but still perform its services on behalf of the client. Our role is to get information in the factory for preventing any quality issue related to our clients’ production and for which our clients request a service.

ASIA QUALITY CONTROL will carry out its services according to client’s specifications made on the online booking and after validation by ASIA QUALITY CONTROL. In the case where there is no client’s specification, ASIA QUALITY CONTROL will use the relevant and / or available standard(s) or common practices to perform its services.

Client should book its demand(s) online from its private account or via e-mail and the booking form to their account manager, as much as possible in advance to avoid timing issue.

ASIA QUALITY CONTROL keeps the right to accept or reject a demand of service or a request of any kind and cannot be sued or considered liable if do so.

6. Client’s obligations

The Client agrees to supply ASIA QUALITY CONTROL with relevant, true and correct information when ordering the services either online from its private account on ASIA QUALITY CONTROL website or through email(s) sent to his account manager.

Moreover, the client shall ensure that ASIA QUALITY CONTROL will access the needed information not later than 2 full working days before the desired service.

The client is obliged to modify or cancel the service no later than 1 full working day before the requested and planned service date.

Client accepts to abide to our payment and invoicing policy.

7. Pricing, Payments and Invoicing policy

Our pricing is given contract per contract by our sales representative.

We normally invoice clients per man-day (1 inspector / 1 day) and our standard man-day rate is USD 288 all inclusive, however some exception may occur when the inspection has to be performed in a remote area. In this case Asia Quality Control keep possibility to add some travel expenses at his own discretion. In such case, ASIA QUALITY CONTROL will notify its client not less than 2 working days prior operation to get confirmation from client of his/her acceptance of this over charge. Acceptance will have to be done by written way: e-mail, mail or skype conversation.

For new clients (less than 5 accumulated man-days purchased from Asia Quality Control), services have to be paid prior to the service only (T/T or Paypal).

For regular clients (more than 10 accumulated man-day purchased) invoices will be sent by email), once a month, at the end of the month, with all services performed during the month and the payment is requested right away, upon reception.

When transferring the money with its bank, the client agrees to pay for bank fees in full and overseas charges. We may keep possibility to refuse to execute a service if the received amount on our bank account reveals customer didn’t instruct its bank to charge the client for bank charge, making final amount received to be less than required by ASIA QUALITY CONTROL.

Client can pay the ordered services fees to ASIA QUALITY CONTROL by bank transfer (TT / telegraphic transfer of money, from bank to bank) or by Paypal. Services fees are labeled in USD.

In case the client did not pay his previous invoice(s) on time (within 30 days after invoiced has been sent to client), ASIA QUALITY CONTROL has all right to stop providing its service and the client still has to pay the amount related to the services performed by ASIA QUALITY CONTROL.
Moreover, an extra charge of 5% of the due amount will be charged for every month of late payment. In case of litigation or court settlement, client is responsible for bearing all cost related to court settlement (document translation, lawyer fees, etc…) for both parties (himself and ASIA QUALITY CONTROL)

For orders invoiced with additional expenses (travel expenses for orders outside of our network or orders performed by Western inspectors), these orders will be charged based on real travel expenses (receipts will be provided). If the payment had occurred prior to the service, an advance for travel expenses might have been charged. In this case, the client will have to pay for real travel expenses and we will deduct the advance from his next invoice.

Cancellation is requested no later than 1 full working day before the requested and planned service date, it is free of charge and the man-day fee shall be fully refunded.
If the client cancels the service less than 1 full working day before the requested and planned service date, a late cancellation fee of USD 100 per man-day applies.
For all cancellations, unavoidable third party fees shall be charged to the clients account and ASIA QUALITY CONTROL will be released from its obligations.

8. Liability and indemnification

 

8.1 Limitation of liability

  • a). ASIA QUALITY CONTROL will accept liability only in case of proven negligence.
  • b.) In the event of inaccurate information being given to ASIA QUALITY CONTROL by any third party, there is no acceptance of liability.
  • c.) ASIA QUALITY CONTROL is not an insurance company and legally is not required to bear such a role. Clients who want to ensure their goods against non-conforming quality; problem of shipment schedules; inadequate materials, etc should look for a proper insurance through an accredited insurance company.
  • d.) ASIA QUALITY CONTORL will not be responsible for timing issue due to late payment of customer involving late service
  • e.) ASIA QUALITY CONTROL will not be responsible for late shipment of customer and any other related loss due to late reporting
  • f.)  ASIA QUALITY CONTROL will not be responsible for quality issue if inspection level chosen by customer for inspection is less than 2 (1, S1, S2, S3, or S4)

8.2 Diligence

ASIA QUALITY CONTROL will do its best to perform its services with due diligence, and shall perform our services based on client instructions. These instructions are provided online through the ASIA QUALITY CONTROL online booking system. Therefore, ASIA QUALITY CONTROL will issue all quality reports related as per direction, and only the facts will be recorded within the limits of instructions and criteria sent by the client.

Therefore, ASIA QUALITY CONTROL is under no obligation to report information that is not specified by the client through ASIA QUALITY CONTROL online booking. Moreover our services do not include the checking of the internal mechanics; safety requirements; chemical testing of products; exact materials, to be used to produce the goods. Such verification can be done through ASIA QUALITY CONTROL laboratory testing services with our accredited partners.

If ASIA QUALITY CONTROL is not able to perform its services as per Force Majeure; i.e.: out of ASIA QUALITY CONTROL control, no responsibility will be obligated for this.

8.3 Practical Terms

ASIA QUALITY CONTROL is not liable for any claims on inspected goods when:

  • a). Less than 80% of products were ready for inspection.
  • b). Inspection was failed, with no re-inspection completed.
  • c). Inspection was completed at an AQL less than Level II.
  • d). The ASIA QUALITY CONTROL inspection report does not evidence actual shipment.
  • e). Goods get damaged due to logistics purpose (improper loading) and ASIA QUALITY CONTORL was not contracted for Logistics Inspection
  • f). No reference sample was provided for inspection

Per ASIA QUALITY CONTROL’s terms, it is the client’s responsibility to:

  • a). Ensure that inspection is performed at the proper time, when the proper percentage total is finished.
  • b). Ensure that a re-inspection is performed after a failed inspection, and following the factory’s reworking of the goods.
  • c). Select a strict minimum sampling size, at least AQL Level II, to ensure a quality-standard representative inspection.
  • e). Ensure with proper timing to make that inspection report can be delivered before their shipment date or L/C expiration date

8.4 Indemnification

In the event of ASIA QUALITY CONTROL being held liable in respect to any claim of loss, damage or expense of any nature, the liability to the claim shall in no circumstances exceed ten times the total average sum of invoices paid for the specific single service for which a claim is made if no client approved (sealed – signed) reference sample was provided by the client, and ten times if an approved (signed – sealed) reference sample was provided and made available to ASIA QUALITY CONTROL prior to inspection two working days prior to the confirmed inspection date subject to the inspection to AQL level II/reference on-site, on the day of inspection.

For cases where blame or negligence can not be fully proven, ASIA QUALITY CONTROL cannot offer more than 5 Man-days. Moreover, our liability can only be engaged for the specific products that ASIA QUALITY CONTROL inspected at the time of performance of the service.

Depending on the factory location and the time spent on the inspection itself, the Same-Day Report service can be accomplished (currently only available in China during week days). The ASIA QUALITY CONTROL team will do their utmost to make it happen, otherwise we will inform you as early as possible. In case a client has booked the Same-Day report option and ASIA QUALITY CONTROL was unable to issue the report during the day of the inspection, ASIA QUALITY CONTROL can only be held liable to reimburse the fee of the option as well as offering one Same-Day report for a future inspection free of charge.

Thus, if the amount of loss and claim is above ASIA QUALITY CONTROL’s liability (as defined above – 8.1 – 8.3), the client shall bear the difference between ASIA QUALITY CONTROL’s liability (as defined above) and the amount of loss (the price of the claim), and this for all claims made by other parties (including the client and its final clients) against ASIA QUALITY CONTROL.

If client has a claim or a loss to declare, notice must be given to ASIA QUALITY CONTROL headquarters (contact@asiaqualitycontrol.com or by mail at Asia Quality Control Limited, located at Rooms 1010 Miramar Tower, 132 TST, Kowloon, Hong Kong) within 1 week following discovery of the facts, or within two months from the completion of the ASIA QUALITY CONTROL Service.

9. Termination of services

ASIA QUALITY CONTROL has the right to suspend or terminate the provision of services to the client at any time.

Provision of services will be automatically suspended in case where client does not follow these terms and conditions or if client does not pay or is unable to pay.

10. Supplier & Factory obligations

The report is not a certificate for the supplier and is not an evidence for shipment(s). The issuance of the report does not exonerate the buyers from exercising all their rights and does not release the manufacturer or seller from his contractual liabilities and responsibilities for its products.

11. Employment Offers

This website may contain information on employment opportunities within ASIA QUALITY CONTROL. If you decide to apply for a vacancy we will assume that, by creating an application form or sending us your CV, you are signaling your agreement for ASIA QUALITY CONTROL to use, hold and destroy any personal data contained in your form/CV for the purpose of considering your application in accordance with our standard recruitment procedures and for the purposes outlined in detail below.

We may wish to retain your details on file for up to the next 12 months and to notify you of any suitable vacancies that arise. You would then have the opportunity to apply for these vacancies if you wished to do so.

12. Jurisdiction

These terms and conditions are governed by and construed in accordance with the Hong Kong Law. Thus all disputes shall be submitted to the jurisdiction of the courts of Hong Kong or/and in the country where the client is located.

13. Copyright

The information contained on this website or in any publication made available on or through this website is the exclusive property of ASIA QUALITY CONTROL. It is licensed to ASIA QUALITY CONTROL and is protected by copyright and other proprietary rights. Nothing contained in this website or in any documents (reports, invoice, poster, flyer, business card) created and provided by ASIA QUALITY CONTROL may be reproduced, distributed or edited in any manner without the prior written authorization of ASIA QUALITY CONTROL.

14. Disclaimer

The information contained and accessed on or through this website is provided by ASIA QUALITY CONTROL for general guidance and is intended to offer you general information of interest.
